Welcome to binaby (“binaby,” “we,” “us,” or “our”).

These Terms of Use (“Terms”) govern your access to and use of our websites, mobile websites, applications, and related services (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY.

These Terms constitute a legally binding agreement between you and binaby. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

These Terms include provisions that govern how disputes are resolved, including an arbitration agreement, class action waiver, and jury trial waiver, which affect your legal rights. Please review Section 18 carefully.

1. Acceptance of These Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Privacy & Security

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. If there is a conflict between the Privacy Policy and these Terms, these Terms control.

We maintain reasonable administrative, technical, and physical safeguards designed to protect the information we collect. However, we may disclose information when we believe in good faith that such disclosure is necessary to comply with applicable law, regulation, legal process, or lawful governmental request.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or security breach.

3. What binaby Is (and Is Not)

binaby is a product discovery and purchasing intelligence platform designed to help users understand product markets across multiple third-party sources.

binaby may:

  • aggregate and analyze product listings and pricing signals;
  • normalize and structure product information;
  • present market insights, comparisons, and summaries; and
  • link to third-party websites where purchases may be completed.

binaby does not:

  • sell products;
  • process payments;
  • fulfill orders;
  • provide shipping, returns, warranties, or guarantees; or
  • act as a retailer, broker, agent, or marketplace.

All purchases are made directly with third parties, not binaby.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you are legally capable of entering into these Terms.

5. Changes to the Service or Terms

We may modify these Terms or the Service at any time. Changes become effective when posted, as indicated by the “Last Updated” date.

Changes will not apply retroactively to disputes for which notice was provided before the change, where required by law. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

6. Accounts (If Available)

Some features may require creating an account.

You agree to:

  • provide accurate and current information;
  • keep your information updated;
  • safeguard your login credentials; and
  • not share or misuse accounts.

We may suspend or terminate accounts at our discretion to protect users, the Service, or to enforce these Terms.

7. Marketplace Data & Accuracy Disclaimer

The Service may display information from third-party marketplaces, sellers, manufacturers, or public sources (“Third-Party Content”).

We do not guarantee:

  • accuracy or completeness of listings;
  • final prices or availability;
  • seller reliability;
  • product condition, authenticity, or fitness;
  • shipping costs or delivery timelines.

You are responsible for verifying all information on the third-party website before completing a purchase.

Data Use Transparency: binaby does not sell personal information. Any affiliate relationships or advertising partnerships do not involve the sale of personal data and do not permit third parties to access identifiable user information beyond what is necessary to operate the Service or measure performance.

8. Affiliate Relationships & Sponsored Content

binaby may earn affiliate or referral fees when you click certain links or complete purchases on third-party websites.

  • This does not mean binaby sells products.
  • Sponsored placements, if any, will be clearly identified.
  • Market intelligence and insights are not guaranteed to be unbiased or exhaustive.

9. Intellectual Property Rights

All content and technology on the Service, including software, algorithms, designs, branding, trademarks, and market intelligence (“binaby Content”), are owned by binaby or its licensors and are protected by intellectual property laws.

You may not:

  • copy, reproduce, distribute, modify, or create derivative works from binaby Content;
  • use binaby trademarks without written permission; or
  • scrape, crawl, harvest, or systematically extract data without authorization.

All rights not expressly granted are reserved.

10. User Content (If Enabled)

If the Service allows you to submit content (such as comments, reviews, images, or messages) (“User Content”):

  • You are solely responsible for your User Content.
  • You represent that you own or have the rights to submit it and that it does not violate law or third-party rights.
  • User Content is non-confidential.

License

By submitting User Content, you grant binaby a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, reproduce, modify, distribute, display, and publish such content in connection with operating, improving, and promoting the Service.

We may remove User Content at any time.

11. Acceptable Use Policy

You agree not to:

  • violate any law or regulation;
  • submit malicious code or harmful content;
  • scrape or automate access without permission;
  • interfere with the Service’s security or operation;
  • impersonate others or misrepresent affiliations;
  • harass, abuse, defame, or deceive others; or
  • collect personal data of other users without consent.

We may investigate violations and cooperate with law enforcement when required.

12. AI and Automated Features

binaby may use automated systems or AI-assisted tools to analyze, normalize, cluster, or summarize product information.

Important disclosures:

  • Outputs may be inaccurate, incomplete, or outdated.
  • Outputs are provided for informational purposes only.
  • Do not rely on outputs as professional, legal, or financial advice.
  • Do not input sensitive personal information unless explicitly requested and appropriate.

We may use aggregated usage data to improve these features as described in our Privacy Policy.

13. Communications With binaby

Any feedback, suggestions, or communications you send to binaby are non-confidential. We may use them without restriction or compensation.

14. Termination

We may suspend or terminate your access to the Service at any time for violations of these Terms, security reasons, legal compliance, or to protect the Service or users.

Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

Termination does not automatically delete personal information where retention is required for legal, security, or legitimate business purposes. Deletion requests are governed by our Privacy Policy.

15. Indemnification

You agree to indemnify and hold harmless binaby and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms; or
  • your violation of any third-party rights.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINABY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not guarantee uninterrupted, secure, or error-free operation.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINABY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR THIRD-PARTY TRANSACTIONS.

Where liability cannot be excluded, binaby’s total liability is limited to the greater of:

  • $100, or
  • the amount you paid to binaby in the prior 12 months (if any).

18. Legal Disputes (Arbitration; Class Action Waiver)

PLEASE READ CAREFULLY.

18.1 Informal Resolution

Before filing a claim, you agree to contact us at support@binaby.com with a description of the dispute and requested relief. We will attempt to resolve it within 60 days.

18.2 Arbitration Agreement

Except for small-claims court matters or intellectual-property disputes, you and binaby agree to resolve disputes through binding individual arbitration, not court. This agreement is governed by the Federal Arbitration Act.

18.3 No Class Actions

Disputes must be brought individually, not as a class, collective, or representative action.

18.4 Arbitration Provider

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Hearings may be conducted by video, phone, or in your county of residence.

18.5 Fees

Fees will be handled in accordance with AAA rules. Fee relief may be available for financial hardship.

18.6 Jury Trial Waiver

If a dispute proceeds in court, you and binaby waive any right to a jury trial to the fullest extent permitted by law.

18.7 Opt-Out

You may opt out of arbitration within 60 days of first accepting these Terms by emailing support@binaby.com with your name, account email, and a clear opt-out statement.

18.8 Governing Law & Venue

These Terms are governed by the laws of the State of California, except where preempted by federal law. Non-arbitrated disputes must be brought in state or federal courts located in California.

19. Jurisdictional Issues & Export Controls

The Service is operated from the United States and intended for U.S. users. If you access it from elsewhere, you do so at your own risk and are responsible for compliance with local laws.

You agree not to use the Service in violation of U.S. export or sanctions laws.

20. General Provisions

  • Severability: Invalid provisions do not affect the remainder.
  • No Waiver: Failure to enforce is not a waiver.
  • Assignment: You may not assign these Terms without consent; we may assign them in connection with corporate transactions.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
  • Headings: For convenience only.
